These Terms of Use ("Terms") constitute a binding agreement between you, a licensed healthcare provider ("Provider" or "you"), and Droplet Health, LLC ("Company", "we", or "us") governing your access to and use of the Droplet application ("App"). By accessing or using the App, you acknowledge that you have read, understood, and agree to be bound by these Terms.1. Acceptance of TermsYour access and use of the App is expressly conditioned upon your acceptance of these Terms. If you do not agree to these Terms, you may not use the App as a provider. These Terms may be updated by us from time to time. Your continued use of the App following the posting of an updated version will mean you accept and agree to the changes.
2. Provider Eligibility and Licensing
You represent and warrant that you are a licensed and qualified healthcare professional, and that your credentials submitted during registration are accurate and current.You agree to maintain all licenses, certifications, and insurance required to practice in your jurisdiction.You must immediately update your profile and cease using the Service if your license becomes inactive, suspended, or revoked.
3. Patient-Directed Data Exchange
You acknowledge and agree that the App is a platform that facilitates the electronic exchange of protected health information ("PHI") and other health-related data as a patient-directed exchange. The PHI you access and receive through the App is disclosed to you directly by your patient, based on the patient's explicit and voluntary consent.
4. Provider Responsibilities
You are solely responsible for the healthcare services, advice, recommendations, or treatment you provide to users. You must use the Service in compliance with all applicable laws, professional standards, and HIPAA requirements. You are responsible for obtaining any consents or authorizations from patients required under applicable law before disclosing or accessing health information through the Service.
5. Permitted Use of PHI
You agree that you will use any PHI accessed through the App solely for the purposes of providing treatment to the specific patient who directed the disclosure. This includes, but is not limited to, the following permitted activities:
•Reviewing the patient's health history to inform clinical decisions.
Integrating the patient's health data into their electronic health record (EHR).
•Documenting care provided to the patient based on the shared information.
•Coordinating care with other healthcare providers involved in the patient's treatment.
6. Prohibited Uses and Redisclosure
You are strictly prohibited from using or redisclosing any PHI obtained through the App for any purpose other than as explicitly permitted in Section 3 of these Terms. Prohibited uses and redisclosures include, but are not limited to:
•Selling, licensing, or otherwise monetizing the PHI.
•Using the PHI for marketing, advertising, or promotional purposes without the patient's separate, valid, and written authorization.
•Using the PHI for research or other purposes that are not directly related to the treatment of the specific patient.
•Disclosing the PHI to any third party, including your business associates or subcontractors, unless such disclosure is required for the treatment of the patient and is in full compliance with all applicable laws and regulations, including HIPAA.
7. Provider’s Obligations Under HIPAA
You acknowledge that as a healthcare provider, you are a "Covered Entity" under the Health Insurance Portability and Accountability Act of 1996 ("HIPAA"). Upon your receipt of any PHI from the App, you become fully and solely responsible for safeguarding that PHI in accordance with your obligations as a Covered Entity under HIPAA, the HITECH Act, and any other applicable federal or state laws and regulations. You agree that the Company is not a "Business Associate" to you in this relationship.
8. Relationship with Droplet
Droplet provides technology tools to facilitate scheduling, communication, and secure sharing of information.Droplet does not employ providers, supervise clinical decisions, or practice medicine.Providers are independent professionals and remain solely liable for the quality, accuracy, and outcomes of the services they deliver.
9. Security and Account Management
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:
•Use a strong, unique password for your account.
•Take all reasonable steps to prevent unauthorized access to the App.
•Notify us immediately of any unauthorized use of your account or any other security breach.
10. Limitation of Liability
You agree to indemnify and hold harmless the Company, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees arising from or relating to your use of the App in violation of these Terms or any applicable laws or regulations.
11. Termination
We reserve the right, at our sole discretion, to suspend or terminate your access to the App at any time, with or without cause, and without prior notice, including but not limited to, a violation of these Terms.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California without regard to its conflict of law provisions. By registering as a provider on Droplet, you confirm that you have read, understood, and agree to this Provider Terms Addendum.
